Welcome to SignFlow. These Terms of Service ("Terms") govern your use of the SignFlow platform and services. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using SignFlow, you agree to these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree to these Terms, you may not use our services.
2. Description of Services
SignFlow provides an electronic signature platform that allows users to send, sign, and manage documents digitally. Our services include document preparation, signature collection, identity verification, and audit trails.
3. Account Registration
To use our services, you must:
- Be at least 18 years old or the age of majority in your jurisdiction
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
4. Electronic Signatures
You acknowledge that electronic signatures created through SignFlow are legally binding and enforceable under applicable law, including the ESIGN Act (US), UETA (US), and eIDAS (EU). You agree to conduct business electronically and accept electronic signatures as valid.
5. User Responsibilities
You agree to:
- Use our services only for lawful purposes
- Not upload documents containing illegal content
- Not attempt to gain unauthorized access to our systems
- Not interfere with or disrupt our services
- Comply with all applicable laws and regulations
- Respect the intellectual property rights of others
6. Fees and Payment
Our pricing is usage-based. You agree to pay all fees associated with your use of our services. Fees are charged based on the number of envelopes sent. Payment is due at the end of each billing cycle. We may change our pricing with 30 days notice.
7. Intellectual Property
SignFlow and its licensors retain all intellectual property rights in our services. You retain ownership of documents you upload. By using our services, you grant us a limited license to process and store your documents as necessary to provide our services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Warranty Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Indemnification
You agree to indemnify and hold harmless SignFlow and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
11. Termination
Either party may terminate this agreement at any time. Upon termination, your right to use our services will cease. We may retain your documents for a reasonable period to comply with legal obligations. You may export your data before termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco, California.
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by email or through our services. Your continued use after changes constitutes acceptance of the modified Terms.
